Nomination Committee

The Nomination Committee advisory services are designed to assist the Committee and its chair in effectively managing the committee function and fulfilling the committee's responsibilities. This program introduces and provides to the Committee specific industry knowledge and financial expertise, risk management metrics and regulatory capital that may not be fully employed in the current committee structure.

In connection with the existing and new activities and responsibilities for the Committee and its Chair the services include, but is not limited to the following:

• Assist the Company in evaluate and selecting, or recommend to the Board, nominees for each election
• Assist the Board in determine criteria for selecting new directors, including desired board skills and attributes
• Assist the Board in recruiting and identifying individuals qualified to become directors
